Steps to Setup a Company in Sri Lanka

Step 2: Reserve a Company Name
Visit the Registrar of Companies (ROC) online system and apply for name approval. Ensure the name is unique and follows legal naming conventions.

Step 3: Prepare Required Documents
You’ll need:

• Form 1 – Company registration application

• Form 18 – Consent of Directors

• Form 19 – Consent of Company Secretary

• Articles of Association

• Passport/ID of all stakeholders

Step 4: File the Incorporation Application
Submit the complete file to ROC and pay the government fee. Once verified, you’ll receive the Certificate of Incorporation.

Step 5: Complete Post-Registration Requirements
After incorporation, do the following:

• Register for TIN and VAT at the Inland Revenue Department

• Open a corporate bank account

• Register with EPF/ETF if hiring employees

• Obtain any sector-specific licenses
